This Privacy Notice (the “Notice”) applies to all customers and prospective customers of our Services, including visitors and users of this website, www.fundwell.com and any other website on which this Notice is posted (the “Sites”) and users of our mobile applications (the “Apps”) (collectively, “you”). When you use or interact with our Services, we may collect the following categories of Information about you in the following ways:
Information You Provide to Us or We Collect Directly
When you submit an application or other forms in connection with our Services, use our products or services, or otherwise communicate with us, you may provide certain Information to us about yourself. We also may collect Information about you in connection with processing your transactions or servicing your account. The Information we collect may include:
- Name and Contact Information – such as your first and last name, mailing or physical address, email address, and telephone number.
- Demographic Data – such as your age or date of birth and sex or gender.
- Government Issued Identifiers – such as your Social Security Number or other national identification numbers (e.g., passport number), driver’s license number and taxpayer identification number.
- Financial Information – such as your business bank account information, information found in voided checks you may provide (including your business account, routing, and checking number), and tax return information.
- Business Information – such as business licenses, certificates of good standing, formation documents (e.g., articles of incorporation, operating agreement) and other documentation of your business’s corporate structure and/or ownership structure (e.g., list of members, officers or managers of the business), financial reports and other information relating to your business’s income and gross revenue (e.g., profit and loss statements, income statements, business invoices).
- Account Information – such as your login credentials to the FundWell portal (including your username, password, security questions and answers), your account number, account history, your transactions with us or others, such as our Network Partners (including transaction balances, payment history, overdraft history, parties to transaction).
- Professional or Employment Information – such as your employment information, including name of your business, your job title or position, and business contact information.
- Video and Audio Information – such as video or CCTV recordings through our security cameras, photographs, audio recordings of your calls with our customer service team or voicemails you may leave us.
- Other Information – any other Information you may choose to provide, including information you provide when you communicate with us (e.g., contents of your email, text/SMS messages, messages with our chatbots, voicemails, or other communications).
Information We Automatically Collect
When you use or interact with our Services, we, our service providers and business partners (e.g., advertising partners) automatically collect certain information from your devices through the use of tracking tools, such as cookies pixels, JavaScript, software development kits (“SDKs”) or web beacons. Such information includes:
- Device Information – such as your device ID and type of device you are using, the type of browser you are using (at the individual user and aggregate level) and its display settings, your operating system, session start/stop time, time zone and network connection type (e.g., Wi-Fi, cellular).
- Internet or other Electronic Network Activity Information – such as your internet protocol (IP) address, unique identifiers, and other information regarding your interaction with our Services.
- Geolocation Data – this includes your general location; we do not collect or process precise geo-location data.
- “Clickstream Data” – information regarding your interactions with our Services including the referring page that linked you to our Services, your mouse movement and keystrokes, the pages, content, or ads you view or click on during or after you navigate to our Services and when and for how long you do so, items you download, the next website you visit when you leave our Services, your interactions with our chatbots (if any), and any search terms you enter on our Services.

Information From Third Parties
We also receive Information about you through third parties, including third-party vendors and service providers that perform services for us or on our behalf, and our business partners (such as our Network Partners or our advertising partners). We also may receive Information about you from publicly available sources. Such Information includes:
- Credit Information and Creditworthiness – such as your credit report, creditworthiness and credit history that we may obtain from credit bureaus to provide you Services, including to match you with appropriate Network Partners, and to confirm your identity.
- Publicly Available Information – such as information from public databases, registers, media search results and other public sources.
- Background Information – such as information we may collect in connection with background checks we may perform in connection with your application.
- Social Media Data – such as Information about you or your posts on publicly available websites or social media platforms, including your username(s) or social media handle(s), posts, comments, content and any information that accompanies those posts, your likes or preferences or profile picture, subject to your privacy settings on these websites or platforms.
2. HOW WE USE YOUR INFORMATION
We may use your Information for the following purposes:
- Evaluate your application – We use your Information to evaluate your application, including to verify your identity, determine whether or not your business qualifies for our products or services, and determine whether your business may qualify for business financing services made available by our Network Partners.
- Provision of our Services – We use your Information to operate, maintain, support and provide our Services. For example, we may use your Information to maintain and service your account on the FundWell portal, and to manage and administer our Sites or Apps, including technical or other support to resolve technical issues, and provision of a customized experience (for example, by remembering choices you make when you use our Services).
- Communications – We use your Information to communicate with you, respond to your inquiries or requests regarding our Services, update you about changes to our policies, request feedback, or to keep you informed of our latest updates to our Services.
- Marketing and advertising purposes – We and our third-party advertising partners may use your Information to send you promotional materials, market products or services to you, or show you relevant advertising.
- Improvement of our Services – We may use your Information to conduct surveys or test features of our Services, and analyze the Information we have to develop, maintain, measure, and improve our Services.
- Maintenance of security and integrity of our systems – We use your Information to verify your identity and maintain the integrity and security of our systems and Services.
- Operate our business – We use your Information to support our internal business functions, including finance, accounting, and audit.
- AI Tools – We use software applications that incorporate artificial intelligence technology and machine learning (“AI Tools”) to provide certain features of our Services. We may process your Information using these AI Tools. We also may use your Information to train these AI tools to enable us to build new products, improve our services and/or offer new services.
- With your consent – We use your Information for other purposes described at the point of collection and/or with your consent.
- Protecting our interests – We use your Information when we believe it is necessary in order to take precautions against liabilities, investigate and defend ourselves against any claims or allegations, investigate and protect ourselves from fraud and/or crime and/or corruption and other matters, to protect the security or integrity of our Services, to protect the rights and property of FundWell and to otherwise enforce our rights. We also may use your Information in order to enforce our policies, including our Terms of Use.
- Compliance with our legal and regulatory requirements – We use your Information to detect and prevent fraud, crime and/or corruption, investigate violations, and as otherwise required by law, regulation, or other governmental authority including to comply with a subpoena or similar legal process.
3. HOW AND WITH WHOM WE SHARE YOUR INFORMATION
We may disclose your Information as described below:
- Affiliates and Subsidiaries – we share your Information with our affiliates, subsidiaries, and other companies in our group in connection with any of the uses of your Information set out in this Notice.
- Vendors and Service Providers – we share your Information with our vendors and service providers that perform services for us or on our behalf, including for the following purposes: performing services or offering products on our behalf such as processing applications, servicing our products, collections, auditing; detecting security incidents; preventing and detecting fraud/identity theft; debugging and repairing functionality; undertaking internal research for technological development; undertaking activities to verify or maintain the quality of our services; and to perform professional services such as accounting, tax, legal, compliance underwriting, analytics, customer support and other similar routine functions.
- Advertising Partners – we may share certain Information about you with our third-party advertising partners, who may use such information to perform marketing or advertising services (including counting ad impressions) and for their own purposes, including marketing products or services to you or showing you relevant advertising. We may also share certain Information about you for data segmentation, enrichment, and optimization purposes, which allow us and/or our advertising partners to personalize and optimize advertisements and marketing activities we or they offer you.
- Network Partners – we will share your Information with our lending partners, financing partners and other business partners in our network, as appropriate, to deliver the products or services that you requested (collectively, “Network Partners”).
- Others – we may disclose your Information with our professional advisors including lawyers, auditors and insurers, and other parties if you ask, authorize, or direct us to do so.
- Compliance with Laws and Enforcement Entities – We may disclose your Information (i) if we are required to so by law or legal process, such as a court order or subpoena; (ii) in response to requests by government agencies, such as law enforcement authorities; (iii) to establish, exercise or defend our legal rights (e.g., to enforce our Terms of Use); (iv) when we believe disclosure is necessary or appropriate to prevent physical or other harm or financial loss; or (v) in connection with an investigation of suspected or actual illegal activity.
- Mergers and Acquisitions – We may share your Information if we enter into a business transaction, such as a merger, divestiture, acquisition, restructuring, reorganization, dissolution, consolidation, bankruptcy, liquidation, or other sale or transfer of business transaction involving all or part of our company or assets or wind down of our business, including for the purposes of determining whether to proceed with such transaction. Any party that acquires our assets as part of such transaction may continue to use your Information in accordance with the terms of this Notice.
- Deidentified and Aggregated Information – We may aggregate and/or de-identify your Information such that it is no longer able to be linked to you or your device(s). This Notice does not limit our ability to use or disclose such aggregated or de-identified information, which we may disclose in our sole discretion.
4. COOKIES AND OTHER TRACKING TECHNOLOGIES
When you interact with our Services, we utilize tracking technologies, such as cookies, web beacons, pixel tags, SDKs and web server logs to collect certain information about you and your devices by automated means, including information about how you use or interact with our Sites, Apps or emails. Cookies are small data files that websites send to your computer or device to uniquely identify your browser or to store information or settings in your browser. We use tracking technologies to better understand how users use our Services. For example, when you visit our Sites, we may receive certain information about you or your device, such as your Internet protocol (IP) address, the time of your visit, and the referring location (e.g., the site or page that linked to our Sites), and your browsing activities (e.g., the pages viewed, the time spent at our Sites, the websites visited just before and just after our Sites). The collected information allows us to design and arrange our web pages or apps in the most user-friendly manner and to continually improve our Services to better meet the needs of our users. We also use this information for purposes of system administration, reporting on aggregate information, counting visitors or users of our Sites or Apps, counting visitors who interact with our chatbots, marketing analytics and other similar purposes. We may also use tracking technologies to enhance and customize your experience (such as storing your username so you can log in easily and keeping you logged in after you provided your password), authenticate your identity and protect against fraud, and otherwise manage and enhance our Services to ensure they are working properly.
We also use session replay technologies to record your interactions with our Sites or Apps. The information collected by these technologies includes mouse movements, keystrokes clicks, scrolls, information you may input and other activities you may conduct on our Sites or Apps and usage pattern, such as the pages viewed as well as date and time of your interactions with our Sites or Apps. If you prefer, you can choose to have your browser warn you each time a cookie is being sent, or you can choose to turn off cookies by adjusting your browser settings. If you turn off your cookies, some of the features of our websites may not function properly. You can also opt-out of Google analytics cookies by following the instructions provided at https://policies.google.com/privacy#infochoices.

5. HOW WE SECURE YOUR INFORMATION
The privacy and protection of your personal information is very important to us. We take security very seriously; we have implemented and utilize administrative, technical, and physical safeguards designed to prevent unauthorized access, use or disclosure of your Information. Unfortunately, no security measures can guarantee that information never be accessed in an unauthorized way.
If you create an account on our Services, you need to help us prevent unauthorized access to your account by protecting your password appropriately and limiting access to your account. You will be solely responsible for keeping your password confidential and for all use of your password and your account, including any unauthorized use.
6. DATA RETENTION
We will retain your Information for as long as necessary to fulfil the purpose for which it was collected, and as necessary to comply with our legal obligations, resolve disputes, and enforce our policies. We may also retain your Information to investigate or defend against potential legal claims in accordance with the limitation periods of jurisdictions where legal action may be brought. Retention periods will be determined taking into account the type of information that is collected (including the sensitivity of the information) and the purpose for which it is collected, bearing in mind the requirements applicable to the situation and the need to destroy outdated, unused information at the earliest reasonable time.
7. LINKS TO THIRD PARTY WEBSITES
Our Services may contain links to other websites or other online services (such as social media platforms) and may include third party features such as apps, tools, widgets and plugins. We are not responsible for the privacy practices employed by these other websites or services, nor the information or content contained therein. When you use a third-party link to go from our websites to the third-party’s website, this Notice is no longer in effect. Your browsing and interaction on the third-party’s website is subject to that website’s own privacy policy. We encourage you to read the privacy policies of these third-party websites or services to learn more about how your information may be used by these third parties before proceeding.
8. YOUR RIGHT AND CHOICES

(b) Email Communications: We and our business partners may send you promotional emails to offer you products and services that may be of interest to you. You may opt-out of receiving such emails by clicking on the “Unsubscribe” link at the bottom of the email. You must include your full name and email addresses. Once we locate your contact information based on the information you provide us, it will be removed from our mailing lists. Please understand that it may take us a few days to process any opt-out request and that even if you opt-out of receiving promotional emails form us, we may still email you in connection with your relationship, activities, transactions and communications with us.
(c) Text/SMS Messages: By opting into FundWell’s Text/SMS Messaging Program, you agree to receive informational and marketing text/SMS messages from FundWell or FundWell’s third-party service providers (on Fundwell’s behalf). FundWell (or its third-party service provider) may send recurring text or SMS messages to the phone number associated with your opt-in. Any text/SMS messages between you and FundWell are subject to the FundWell’s Text/SMS Messaging Program Terms and Conditions. Our communications may include information about any current or future applications, accounts, products or services that you have with or through FundWell or any applications, accounts, products or services that we think may be of interest to you.
The information obtained from you in connection with FundWell’s text/SMS messaging program may include your mobile phone number, your carrier’s name, and the date, time and content of your messages and any other information you provide to FundWell as part of the program. We may use such information to provide you our products or services that you request or to market to you product or services that we think may be of interest to you or otherwise communicate with you. No mobile information will be shared with third parties or affiliates for marketing/promotional purposes. All other categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties. You may elect to no longer receive text/SMS communications by replying “STOP” to any FundWell text/SMS message you receive, and you will receive a text message confirming that you have been unsubscribed. You may also opt-out by contacting us at [email protected] with “Opt-Out” in the Subject line or at our mailing address above, Attn: Marketing, Opt-Out. You will then be placed on our “do-not-contact” list for marketing purposes. Message & Data rates may apply. Message frequency may vary. Reply HELP for more information. (d) Browser and Device Settings: Your browser may tell you how to be notified about certain types of tracking technologies and how to restrict or disable them. To learn more about how to manage cookies on different browsers, you can visit the website www.allaboutcookies.org. Note that blocking these technologies may prevent you from being able to use all of the features of our Services. Your browser may also permit you to send do-not-track signals or other similar signals to express your preferences regarding online tracking. Because of differences in how web browsers incorporate and activate this feature, it is not always clear whether users intend for these signals to be transmitted, or whether they even are aware of them. Currently, our Site does not recognize if your browser sends a “do not track” signal or similar mechanism.
(e) Targeted Advertising and “Sale” of Information: We may share your Information (such as automatically collected information about you and your devices by cookies and other tracking technologies when you browse or interact with our Services) with our third-party business partners, such as our advertising partners, who may use such information for their own purposes, including to show you relevant or targeted advertising. Such targeted ads are based on your browsing behavior and tailored to your interests and may be presented to you while you are browsing our Sites or other third-party sites not owned by FundWell.
You can opt-out of targeted advertising on websites that participate in self-regulatory programs via the following links: Digital Advertising Alliance (DAA) WebChoices and Network Advertising Initiative (NAI) Consumer Opt-Out. You can also opt-out of targeted advertising by clicking the “ad choices” icon on an advertisement and selecting what types of advertisements you wish to opt out of. Please note that if you choose to opt out, you may continue to see ads on our Services, but they will not be targeted or based on Information we collected about you.
Our sharing of your Information with our third-party advertising partners also may constitute a “sale” under California law. If you are a resident of California, you have the right to opt-out of such activity. Please review our California Privacy Supplement for more information.

California Privacy Supplement

This California Privacy Supplement (“Supplement”) should be read in conjunction with FundWell’s Privacy Notice and applies solely to personal information collected by FundWell about California residents. Any capitalized terms we do not define in this Supplement are defined in our Privacy Notice. This Supplement also contain certain terms that have the meanings given to them in the California Consumer Privacy Act of 2018, as amended by the California Privacy Rights Act of 2020, and its implementing regulations (collectively, the “CCPA”).
Personal Information We Collect:
We collect (and may have collected in the last twelve (12) months) the following categories of personal information for the purposes described in the “How We Use Your Information” section of our Privacy Notice:
- Identifiers: your first and last name, postal address, online identifier, Internet Protocol address, email address, account name, Social Security number, driver’s license number, passport number, or other similar identifiers.
- Personal information categories listed in the California Customer Records statute (Cal. Civ. Code § 1798.80(e)): name, signature, Social Security number, address, telephone number, passport number, driver’s license or state identification card number.
- Protected classification characteristics under California or federal law: age or date of birth, sex or gender.
- Commercial Information: products or services purchased, obtained or considered, or other purchasing or consuming histories or tendencies.
- Internet or Other Electronic Network Activity Information: browsing history, search history, information on your interaction with our Services or advertisements.
- Geolocation Data: general location information; we do not collect precise geolocation.
- Sensory Data: audio, electronic, visual or similar information (e.g., voicemails, emails, video/CCTV recording or photographs, etc.).

- Inferences drawn from any of the personal information above: profiles reflecting a person’s preferences, characteristics, psychological trends, predispositions, behavior, attitudes, intelligence, abilities, and aptitudes.
Certain categories of personal information listed above may be considered sensitive personal information (as defined under the CCPA). We do not collect or use sensitive personal information for the purpose of inferring characteristics about you nor do we use or disclose sensitive personal information for purposes other than those as permitted under the CCPA.

Any party that acquires our assets as part of such transaction may continue to use your personal information in accordance with the terms of this Supplement and our Privacy Notice.
Sale or Sharing of Personal Information
We may disclose your personal information (such as automatically collected information about you and your devices by cookies and other tracking technologies) to our third-party business partners, such as our advertising partners, who may use such information for their own purposes, including to market products or services to you or show you relevant or targeted advertisements. Such disclosures may be considered a “sale” of personal information or the “sharing” of personal information for cross-contextual behavioral advertising under the CCPA. We sell or share (and may have sold or shared in the last twelve (12) months) the following categories of personal information to our advertising partners:
- Identifiers;
- Commercial Information;
- Internet or Other Electronic Network Activity Information; and
- Inferences drawn from the personal information above.
You have the right to opt-out of such disclosures, as detailed below. We do not “sell” or “share” personal information of children under sixteen (16) years of age.
Your CCPA Privacy Rights
The CCPA provides California residents with specific rights regarding their personal information, subject to certain exceptions. Such rights include:
- Access Right: You have the right to access your personal information or receive certain information regarding our processing of your personal information, including:
- the categories of personal information we collect;
- the categories of sources from which we collect personal information;
- the categories of personal information disclosed, sold or shared to third parties and categories of third parties to whom such personal information is disclosed, sold or shared;
- business or commercial purpose(s) for collecting or disclosing your personal information;
- specific pieces of personal information we have collected about you.
- Correction Right: You have the right to request that we correct any inaccuracies in the personal information we have collected about you.
- Deletion Right: You have the right to request that we delete personal information that we collected from you.
- Opt-out of the Sale or Sharing of your Personal Information: You have the right to opt-out of the disclosure of your personal information to our third-party business partners, such as our advertising partners, who may use such information for their own purposes, including to market products or services to you or show you relevant or targeted advertisements (as described above).
How to Exercise Your Rights
Requests to access, correct or delete your personal information can be submitted by calling us at 888-655-9577 or by contacting us at [email protected] or by using our data sharing opt-out from below. Only you, or a person authorized to act on your behalf, may make a request related to your personal information. Except where you have provided an agent with a power of attorney pursuant California Probate Code, when using an authorized agent you must (1) provide the agent with signed permission clearly describing their authority to make a request on your behalf; (2) verify your own identity; and (3) directly confirm that you have provided the authorized agent permission to submit the request. That agent must also be able to verify their identity with us and provide us with their authority to act on your behalf.
The request initiated by you or your authorized agent must include the following: your full name, phone number, address, and FundWell account number. The request also must contain sufficient detail that allows us to properly understand, evaluate, and respond to it.
We cannot respond to your request or provide you with personal information if we cannot verify your identity or authority to make the request and confirm the personal information relates to you. You may need to provide additional information in order to verify your request. Depending on the nature of the request, we may require additional verification actions be taken, including but not limited to providing a signed declaration under penalty of perjury that you are the person whose personal information is the subject of the request. We will only use personal information provided in the request to verify the requestor’s identity or authority to make it. Once we receive your request and confirm your identity, we will review your request to see if an exception applies. We endeavor to substantively respond to a verifiable consumer request within forty-five (45) days of its receipt. If we require more time (up to another forty-five (45) days), we will inform you of the reason and extension period in writing. We do not charge a fee to process or respond to your verifiable request unless it is excessive, repetitive, or manifestly unfounded. In case of rejection, the response we provide will explain the reasons for which we cannot comply with your request. We will not discriminate against you for exercising your rights and choices.
Opt-out of “Sale” or “Share”: To opt-out of the sale or sharing of your personal information, please use the cookie preference tool available on our Site. You may also opt-out by using an opt-out preference signal like the Global Privacy Control (“GPC”), which have been adopted by certain browsers. For more information about the GPC, please visit, https://globalprivacycontrol.org/. After you opt-out, you may continue to see advertisements, but they will not be personalized or targeted to you.
